Definitions and Clarity
1.1 In the context of these terms, “we” or “us” is Purecare, the entity mentioned in the sales or service agreement with you. “You” identifies the individual, company, or entity procuring goods and/or services from us. References to “our” and “your” should be interpreted accordingly, with “contract” referring to any order we have confirmed acceptance of.
1.2 Any reference to statutory provisions includes subordinate legislation derived from it, any amended or re-enacted versions, and any subsequent legislation that replaces or re-enacts the original.
Terms Application
2.1 The conditions outlined herein exclusively govern all goods and/or services transactions with us, sidelining any other terms not explicitly agreed upon in writing by our Directors beforehand.
2.2 Your order or quotation acceptance constitutes an offer to purchase goods and/or services under these specified terms. An order is not considered accepted by us until we either confirm the order in writing or start fulfilling the order. We reserve the right to retract any quotation at any point before acceptance.
2.3 You acknowledge that no reliance was placed on any statement made by us not encapsulated within these terms. It is your responsibility to ensure the accuracy and suitability of goods and/or services ordered.
2.4 We hold no liability for typographical or clerical errors in any promotional or sales documentation we issue.
Goods Description
The quantity and description of the goods correspond to what's outlined in our order confirmation. Samples and advertisements aim only to give a rough idea of the products and do not form part of the contract. Each order is treated as distinct.
Goods Delivery
Delivery dates are estimates and not guarantees. We are not liable for delays. Delivery obligations are considered fulfilled once the goods are ready for delivery or if there are impediments due to missing instructions, documents, or consents from you. You bear the costs for storage and any consequent delivery attempts. Deliveries made to the nearest accessible point are at our discretion, with additional charges applicable for delays caused by your actions.
Risk and Title Transfer
Risks transfer to you upon delivery. However, the title of the goods remains with us until complete payment is received. Until then, you're holding the goods as our bailee, responsible for their safekeeping and identification as our property.
Service Provision
If services are part of the goods provided, necessary access, a safe working environment, and requisite consents must be furnished by you to enable service execution.
Pricing and Additional Fees
The price agreed upon for goods and/or services is exclusive of VAT and subject to adjustments based on cost variations that might occur before delivery or service execution.
Payment Terms
Payments for goods and/or services on credit terms are due by the end of the month following the delivery or service completion month. Late payments attract interest and additional charges as outlined herein.
Liability for Defects
We are liable for defects in workmanship or materials under the terms set forth herein. This liability does not extend to issues arising from misuse, unauthorized alterations, or normal wear and tear.
Cancellations and Returns
Cancellation or return requests are subject to our discretion and may incur restocking fees and other costs. Consumer rights under distance selling regulations are respected but carry specific conditions for goods return.
Intellectual Property Rights
Recognition is given to Purecare’s ownership of its intellectual property. Any use of such property by you accrues to our benefit.
Online Sales Policy
Restrictions apply to online sales, specifically concerning marketplace platforms. Compliance with our branding guidelines is required for online sales on your websites.
POS Material Usage
We provide POS materials under certain conditions, with expectations for their setup, maintenance, and exclusive use for our products.
Safety and Compliance
You are responsible for ensuring all safety guidelines and regulations are followed in the handling and use of our goods.
Waste Management
Disposal of waste resulting from our goods falls under your responsibility, in compliance with relevant regulations and laws.
Force Majeure
Delivery delays, contract cancellations, or order quantity adjustments are permissible without liability on our part in case of unforeseen circumstances beyond reasonable control.
International Sales
For goods sold outside specified regions, you bear the responsibility for shipping, insurance, and compliance with export/import regulations.
Anti-bribery Compliance
Engagements in bribery or attempts thereof in relation to our goods or services result in contract termination and necessitate indemnification on your part for arising liabilities.
General Conditions
Notices, contractual validity, and dispute resolutions are governed under these terms, acknowledging no third-party rights unless specified, with jurisdiction and governing law defined based on your location.
